Welcome to StreamSnip. These Terms of Service ("Terms") govern your access to and use of the StreamSnip platform, website, and services (collectively, the "Service") operated by StreamSnip LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using any part of the Service, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

StreamSnip is an AI-powered clip generation platform that automatically identifies, creates, and edits highlight clips from live streams and recorded content. The Service uses artificial intelligence and machine learning technologies to process video and audio content.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Billing

StreamSnip offers various subscription plans, including free and paid tiers. By selecting a paid plan, you agree to the following:

• Payment Processing: All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable subscription fees to your designated payment method.
• Recurring Billing: Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Your subscription will automatically renew at the end of each billing period unless cancelled.
• Price Changes: We reserve the right to change subscription pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.
• Taxes: You are responsible for any applicable taxes associated with your subscription. Prices displayed may not include taxes, which will be added at checkout where required by law.
• Failed Payments: If a payment fails, we may retry the charge and/or suspend your access to paid features until payment is successfully processed.

5. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@streamsnip.io. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• No refunds are issued for partial billing periods
• Your account will revert to the free tier (if available) after the paid period ends

6. AI-Generated Content

The Service utilizes artificial intelligence to generate clips and edits. You acknowledge and agree that:

• AI-generated outputs may not always be accurate, complete, or suitable for your intended purpose
• You are solely responsible for reviewing, editing, and approving any AI-generated content before publishing or distributing it
• We do not guarantee specific results or outcomes from the AI processing
• The AI models may be updated, modified, or improved over time, which could affect output quality or style
• AI-generated content should not be relied upon for legal, medical, financial, or other professional advice

7. Content Rights and Ownership

• Your Content: You retain all ownership rights to the original content (streams, videos, audio) that you upload or connect to the Service. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service.
• Generated Clips: Clips and edits generated by the Service from your content belong to you, subject to these Terms. You are free to use, distribute, and monetize clips generated from content you own or have the right to use.
• Our Platform: StreamSnip and its underlying technology, including AI models, algorithms, software, branding, and documentation, remain our exclusive property.
• Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

8. Acceptable Use

You agree not to use the Service to:

• Process content that you do not own or have the right to use
• Generate, distribute, or promote content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Infringe upon the intellectual property rights of any third party
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Circumvent usage limits, rate limits, or any technical restrictions of the Service
• Use automated scripts, bots, or scrapers to access the Service (except through our official API)
• Resell, sublicense, or redistribute the Service without our written consent
• Interfere with or disrupt the integrity or performance of the Service
• Transmit viruses, malware, or other harmful code
• Violate any applicable laws or regulations

9. DMCA and Copyright

We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe content on our platform infringes your copyright, please review our DMCA Policy for instructions on how to submit a notice.

10. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Service, or is otherwise inappropriate. Upon termination:

• Your right to access and use the Service will immediately cease
• We may delete your account data after a reasonable retention period
• Sections of these Terms that by their nature should survive termination will remain in effect

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STREAMSNIP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless StreamSnip and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, or your violation of these Terms.

14. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware. Judgment on the arbitration award may be entered in any court having jurisdiction.

Individual Basis Only: All disputes shall be resolved on an individual basis. You agree to waive any right to participate in a class action, collective action, or representative proceeding. This class action waiver is an essential part of this arbitration agreement and may not be severed.

Small Claims Court Exception: Notwithstanding the above, either party may bring an individual action in small claims court in the State of Delaware for disputes within the jurisdictional limits of such court.

Opt-Out: You may opt out of this arbitration provision by sending written notice to legal@streamsnip.io within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in the State of Delaware.

16. Platform Terms of Service Compliance

You are responsible for complying with the terms of service of any platform from which you clip content, including but not limited to Twitch, YouTube, Kick, Facebook, and others. StreamSnip does not guarantee that use of our Service complies with third-party platform terms. You acknowledge that violations of third-party platform terms may result in consequences from those platforms, for which StreamSnip bears no responsibility.

17. Force Majeure

StreamSnip shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics or pandemics, strikes, power outages, internet or telecommunications failures, or cyberattacks. In the event of a force majeure event, our obligations under these Terms shall be suspended for the duration of the event.

18. User Content and AI Training

For the avoidance of doubt, your content (including streams, videos, audio, and any clips generated by the Service) is not used to train, fine-tune, or improve StreamSnip's AI models or any third-party AI models. Your content is processed solely for the purpose of delivering the Service to you and is handled in accordance with our Privacy Policy.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
